These Terms of Use constitute an agreement among the user, the client organization on whose behalf the user acts, where applicable, and 17817215 CANADA INC., the operator of LYCHii. They govern access to and use of LYCHii. By accessing the Application, the Web portal, or any
LYCHii functionality, you confirm that you have read, understood, and accepted these Terms.
For the purposes of these Terms, a “user” means any natural person acting as a supervisor on behalf of the client and authorized to access and use LYCHii in the course of that person’s duties.
The “client organization” is the organization for which the user works and that has subscribed to use the Application.
If you do not accept these Terms, you must immediately stop using LYCHii.
Please note that, during LYCHii’s trial period (the “Beta Period”), the Application and Web portal may be offered with evolving or incomplete functionality, or functionality subject to adjustment. By using LYCHii during the Beta Period, the client organization and users acknowledge that the services remain in a testing phase; that errors, interruptions, functional limitations, or modifications may occur; and that the agreed price reflects this development and validation phase. This provision is temporary and may be removed when the Beta Period expires.
Founding Client Program
Client organizations that subscribe to LYCHii’s services during the Beta Period do so as “Founding Clients.” Users and the client organization acknowledge that the pricing, terms, features, service levels, and other conditions offered to them at this stage are preliminary, promotional, and evolving in nature, and are subject to being modified, adjusted, enhanced, withdrawn, or replaced as LYCHii continues to develop its services, subject to reasonable notice provided in accordance with section 19 (Amendments to the Terms). Founding Client status confers no vested right and no guarantee that the pricing, terms, or features offered during the Beta Period will be maintained, renewed, or continued beyond the Beta Period.
1. Purpose of the Services
LYCHii offers an Application intended principally for supervisors, managers, and other authorized persons to report, document, and track incidents or circumstances that may lead to recognition for commendable performance or to disciplinary action in the workplace. LYCHii also
offers a Web portal intended principally for human resources professionals, members of a legal team, and other persons authorized by the client organization in the course of their duties.
The Application allows relevant facts to be recorded and available information to be structured. At certain stages in the handling of a matter, it may present the supervisor with a suggested disciplinary measure, an overview of that measure, and general guidance concerning its
communication or delivery.
The Web portal allows authorized persons, including human resources professionals, to obtain a recommendation generated using automated technologies and based on the methods, practices, and parameters built into LYCHii. The recommendation is intended to support progressive discipline, the disciplinary process, and the client organization’s internal analysis and does not constitute legal advice.
2. Access, Authorized Users, and Accounts
Access to LYCHii is restricted to client organizations and the users they authorize. Each user must use an individual account, maintain the confidentiality of account credentials, and promptly notify LYCHii or the client organization if the user believes that the security of the account has been compromised.
User accounts may not be shared, assigned, loaned, or used by anyone other than the authorized user. The client organization remains responsible for designating authorized persons, managing internal access, and notifying LYCHii when access must be changed, suspended, or revoked.
The sharing or use of an account by anyone other than the authorized user compromises the integrity of Application functionality, particularly functionality based on user identification, such as the traceability of disciplinary measures, and may result in a breach of the client organization’s and LYCHii’s obligations concerning the protection of employee personal information. LYCHii will not be liable for consequences arising from such sharing or unauthorized use.
LYCHii may also suspend or restrict access to any user account or functionality where reasonably necessary to maintain security, prevent misuse, comply with the law, protect processed information, or enforce these Terms.
3. Role of the Client Organization and Users
The client organization and its users are responsible for the accuracy, relevance, sufficiency, and currency of information entered into LYCHii. Generated recommendations depend on the information supplied and may be incomplete or inappropriate where the facts are inaccurate, partial, ambiguous, or incorrectly characterized.
Accordingly, the user agrees to:
- enter accurate, complete, and truthful descriptions of events;
- not use the Application to harass, discriminate against, or retaliate against an employee concerned;
- comply with the client organization’s internal policies and applicable employment, human rights, and privacy laws;
- validate the content of any generated letter before it is delivered to the employee concerned, including its compliance with the client organization’s policies and any applicable collective agreement.
- validate and approve, before any use, implementation, or communication, any recommendation, content, or suggestion generated by LYCHii’s automated or artificial-intelligence functionality, and never rely on it exclusively, automatically, or without exercising independent professional judgment;
The client organization remains solely responsible for its management and disciplinary decisions, employee communications, letters, employment records, legal and collective- agreement obligations, and any professional advice considered necessary.
4. Use of Artificial Intelligence and Automated Technologies
LYCHii is a disciplinary-management support solution intended for organizations, human resources professionals, supervisors, managers, and other authorized persons. Although developed using expertise in technology, labour and employment law, and human resources, LYCHii does not provide legal advice; rather, it provides recommendations, general guidance, and decision-support tools.
LYCHii may use rules, analytical models, automated technologies, or artificial intelligence systems to generate a recommendation concerning progressive discipline, propose an overview of a disciplinary measure, provide general guidance concerning its communication or delivery,
and, where available, support the preparation of a draft letter or disciplinary document. Where a decision is based exclusively on automated processing, the person concerned may request information regarding the use of that process, the principal factors and parameters that led to the decision, and the means available to correct the information used or submit observations to a person capable of reviewing the decision.
4.1 Mandatory Human Oversight
LYCHii is a decision-support tool. LYCHii does not make, render, or communicate any disciplinary, administrative, or other decision on behalf of the client organization or the user. Any recommendation, suggested progressive-discipline measure, overview, general guidance, or draft letter or document generated by LYCHii’s rules, analytical models, automated technologies, or artificial intelligence systems must imperatively be reviewed, validated, and approved by an authorized human person (a supervisor, human resources professional, or member of the client organization’s legal team) before any implementation, communication to an employee, or decision based on that content. The user and the client organization agree never to rely exclusively or automatically on content generated by LYCHii, to exercise their independent professional judgment at all times, and to treat LYCHii’s recommendations as a support tool rather than a final decision or a substitute for human analysis.
5. No Legal Advice or Lawyer-Client Relationship
The online services and content offered through the Application are not a substitute for, and are not intended to replace, the advice or services of a lawyer. The online services and content supplied in connection with the services do not constitute legal advice, and LYCHii does not warrant that they are accurate, complete, or current.
Neither the online services nor the content are intended to create a lawyer-client relationship. Use of the online services or content does not and will not create any lawyer-client relationship between the user and LYCHii or any of its officers, employees, agents, subcontractors, or other representatives.
6. Confidentiality, Sensitive Information, and Appropriate Use of Data
Users must enter only information that is necessary, accurate, and relevant to handling the matter. They must avoid entering excessive, irrelevant, speculative, discriminatory, defamatory, or otherwise unnecessary information.
Users must also avoid uploading or entering unnecessary highly sensitive information, including detailed medical information, government identifiers, detailed financial information, or other protected information exceeding the needs of the matter.
Use of LYCHii must comply with the Privacy Policy, the client organization’s internal policies, and applicable privacy, human rights, employment, labour, and labour-relations laws.
7. Prohibited Uses
LYCHii may not be used for any unlawful, abusive, discriminatory, misleading purpose or any purpose incompatible with these Terms. In particular, no person may attempt to access unauthorized accounts, files, data, or functionality; disrupt LYCHii’s operation; circumvent security measures; transmit malicious code; or use robots, scripts, automated data-collection tools, or similar techniques without prior written authorization.
LYCHii must not be used to harass, improperly monitor, profile, discriminate, or make decisions based on grounds prohibited by law, or to circumvent the client organization’s obligations concerning investigation, procedural fairness, accommodation, proportionality, or respect for fundamental rights.
8. Intellectual Property
LYCHii, its interface, structure, functionality, text, methods, models, parameters, recommendations, templates, workflows, knowledge bases, code, visual elements, and related documentation are protected by applicable intellectual property laws and remain the property of LYCHii or its licensors.
Subject to the applicable agreement between LYCHii and the client organization, LYCHii grants users a limited, non-exclusive, non-transferable, revocable, non-sublicensable licence to use LYCHii solely for the client organization’s internal purposes.
Nothing in these Terms transfers to the user or client organization any ownership right in LYCHii, its components, methods, models, content, general recommendations, or underlying technologies.
8.1 Ownership of File-Specific Generated Content
Subject to LYCHii’s intellectual property rights set out in this section 8, the specific content generated by LYCHii for a particular file of the client organization (for example, a draft disciplinary letter specific to an identified employee) belongs to the client organization. LYCHii retains all rights in the underlying technology, and in its methods, models, parameters, templates, general recommendations, and other components used to generate that content.
9. Prohibition on Extraction, Reverse Engineering, and Training AI Systems
No person may copy, extract, bulk-download, reproduce, adapt, disassemble, decompile, attempt to discover source code, reconstruct LYCHii’s logic, parameters, or methods, or use LYCHii content, recommendations, data, outputs, or elements to create, train, retrain, validate, test, or improve an artificial intelligence system, machine-learning model, database, or competing product without LYCHii’s prior written authorization.
10. Third-Party Services and Technology Providers
LYCHii may rely on technology providers, hosting services, security services, analytics tools, communication services, or other third-party services necessary to operate, support, maintain, secure, or improve the Application.
These providers may change from time to time. Use of LYCHii may be subject to certain technical limitations, terms, or constraints specific to those providers, without creating a direct contractual relationship between the user and those providers unless otherwise stated.
11. Availability, Updates, and Content Backup
LYCHii may be modified, updated, suspended, or temporarily unavailable, including for maintenance, security, improvement, correction, technical-constraint, or force-majeure reasons.
LYCHii does not warrant that the Application, Web portal, or their functionality will be available uninterrupted, error-free, or at all times.
The client organization and users are responsible for retaining, in their own systems or records, any documents, decisions, communications, letters, or other content they wish to preserve in accordance with their internal and legal obligations.
11.1 Force Majeure
LYCHii will not be liable for any failure, delay, or unavailability resulting from an event of force majeure, including a natural disaster, pandemic, armed conflict, act of government, major failure of a cloud infrastructure or telecommunications provider, cyberattack, or security incident beyond LYCHii’s reasonable control, or a strike. Obligations affected by such an event are suspended for its duration. LYCHii will notify the client organization within a reasonable time and will make reasonable efforts to restore the services.
11.2 Export and the Client Organization’s Responsibility to Preserve Records
LYCHii allows the client organization and authorized users to download, from the Web portal, employee files, generated letters and documents, and the history of measures and communications recorded therein. It is the client organization’s sole responsibility to download and preserve these files, letters, and history in its own systems at regular intervals, in accordance with its legal, internal, and employment-record-management obligations. LYCHii assumes no responsibility for the loss, unavailability, or inaccessibility of this information if the client organization or user has not carried out such preservation in a timely manner, including in the event of termination, suspension of access, a technical incident, force majeure, or discontinuation of the services.
12. Disclaimer of Warranties
To the extent permitted by law, LYCHii is provided without any warranty of results, suitability for a particular situation, freedom from error, complete accuracy, completeness, continuous availability, or fitness for a particular purpose. Recommendations, guidance, draft letters, and
other generated content may contain errors, omissions, inaccuracies, or limitations.
The user must exercise judgment, validate the facts, verify sources, and consult a qualified professional where the circumstances require, including where a matter involves complex, sensitive, contentious, unionized, discriminatory, medical, accommodation-related, or employment-termination issues.
13. Limitation of Liability
The client organization and authorized users remain solely responsible for their use of LYCHii, the information entered, the interpretation of recommendations, decisions made, disciplinary measures imposed, communications issued, and resulting consequences.
To the fullest extent permitted by applicable law, LYCHii and its officers, directors, employees, agents, suppliers, and partners will not be liable for indirect, special, incidental, punitive, or consequential damages, or for any loss of profits, revenue, customers, data, business opportunities, productivity, or reputation arising from the use of, or inability to use, LYCHii. Except in the case of a party’s gross or intentional fault, this limitation of liability applies to the fullest extent permitted by applicable law.
13.1 Liability Cap
To the extent permitted by law, the total liability of LYCHii and its officers, directors, employees, agents, suppliers, and partners toward the client organization and users, for all causes of action and claims combined over the entire contractual relationship, will not exceed the total amount paid by the client organization to LYCHii during the twelve (12) months preceding the event giving rise to the claim. This limit does not apply to the indemnification obligation set out in section 14, nor in the case of gross or intentional fault, to the extent that the law does not permit limiting its scope.
14. Indemnification
The client organization and users agree to indemnify and hold harmless LYCHii and its officers, directors, employees, agents, suppliers, and partners from any claim, loss, liability, damage, penalty, fine, or reasonable expense arising from their use of LYCHii, the information they enter, their decisions or communications, their breach of these Terms, or their failure to comply with applicable law.
15. Sanctions and Suspension
In the event of non-compliance with these Terms, misuse, a security risk, infringement of LYCHii’s or a third party’s rights, or non-compliance with applicable law, LYCHii may, among other measures, suspend or revoke account access, restrict functionality, delete or block content, require conduct to cease, notify the client organization, or exercise any available remedy.
15.1 Term and Termination
These Terms remain in effect for as long as the client organization or user uses LYCHii. LYCHii may terminate or suspend a client organization’s or user’s access, with or without notice depending on the circumstances, including in the event of a breach of these Terms, a security risk, or non-payment, subject to the terms of the applicable agreement with the client organization. The client organization may also terminate its use of LYCHii in accordance with the applicable agreement. Upon termination, access to LYCHii ceases; the client organization remains responsible for retrieving, before the effective date of termination, any data or content it wishes to preserve. The provisions relating to intellectual property, disclaimer of warranties, limitation of liability, indemnification, and any other provision that by its nature should survive termination will remain in effect after termination.
16. Electronic Messages
LYCHii may send users electronic communications relating to their accounts, access to services, support, security, updates, service changes, or these Terms. Commercial or promotional communications, if any, will be sent in accordance with applicable law and will generally include an unsubscribe mechanism.
17. Governing Law and Dispute Resolution
These Terms are governed by the laws of the Province of Québec and the federal laws of Canada applicable therein. Subject to any contrary mandatory provision, any dispute concerning these Terms or the use of LYCHii will be submitted to the courts of competent jurisdiction in the Province of Québec.
18. Entirety and Severability
If any provision of this agreement is declared void, invalid, unlawful, or unenforceable, in whole or in part, by a court or competent authority, that provision will be severed from the agreement to the extent necessary. The remaining provisions will remain in full force and effect, and their validity or enforceability will not be affected.
19. Amendments to the Terms
LYCHii may amend these Terms to reflect changes to its services, functionality, technologies, practices, or applicable legal requirements. Amended Terms will be published in the Application or Web portal, or otherwise brought to users’ attention, together with a revised update date.
Continued use of LYCHii after amendments take effect constitutes acceptance of the amended Terms, subject to any applicable mandatory rule.
20. Language Versions
These Terms may be made available in French and English. In the event of any discrepancy, contradiction, or inconsistency between the versions, the French version prevails unless otherwise required by law.
